SOFTWARE LICENSE AGREEMENT
WARNING!
You should read carefully all the terms and conditions of
this Agreement between Christian Quest, the author and
owner of Internet ToolKit, ("The AUTHOR"), and you ("The
LICENSEE"), before using the Software. By pressing on the
button " I Agree ", you agree to be bound by
all the terms and conditions of this Agreement. If you do
not agree with the terms and conditions of this
Agreement, return the Software immediately to THE AUTHOR
or the location where you obtained it. THE AUTHOR is
willing to license the enclosed Software to you only on
the condition that you accept all the terms and
conditions contained in this license Agreement.
1. DEFINITIONS
Software: "Evaluation" version of the program and related
materials contained in the package for the platform(s)
indicated on the package.
2. OWNERSHIP AND LICENSE
This is a license agreement and not an agreement for
sale. THE AUTHOR continues to own the Software contained
in the package and all other copies that LICENSEE is
authorized by the Agreement to make. LICENSEE's rights to
use the Software are specified in this Agreement, and THE
AUTHOR retains all rights not expressly granted to you in
this Agreement.
3. RIGHTS GRANTED
THE AUTHOR grants you a personal, non-exclusive,
non-transferable and royalty-free license to use the
Software. The Software may include one or more libraries,
files or other items, for which THE AUTHOR grants the
LICENSEE a right of use, on the basis of the licenses
given by its suppliers.
LICENSEE may:
a) Use the Software "as is" for evaluation and test
purposes only on a single computer at a time
b) Make copies of the whole Software only, in machine
readable form for back-up and archival purpose only,
provided that LICENSEE reproduces all the proprietary
notices on each copy which appear on or in the
Software
c) Demonstrate the Software or any application which
includes the Software, provided people that are shown the
Software agree to and comply with the terms and
conditions of the non-disclosure clause below.
LICENSEE may not:
a) Use the Software for production purposes
b) Derive profits from the use of the Software
c) Transfer or grant any kind of rights regarding the
Software or any portions thereof in any form to any third
party, without THE AUTHOR's prior written consent
d) Modify, translate, reverse engineer, decompile,
disassemble, create derivative works based on, or copy
the Software or any part of the Software, except
otherwise mentioned by the legislative measures in
force
e) Remove or alter any Software identification,
proprietary notices, labels or trademarks which appear on
or in the Software.
f) Disclose the results of any benchmark test on the
Software to any third party without THE AUTHOR's prior
written consent.
g) Use the the back-up and archival copy (or allow anyone
else to use such copy) for any purpose other than to
replace the original copy in the event it is destroyed or
becomes defective.
THE AUTHOR shall have no obligation
for installation, support and maintenance of the
Software.
4. DISCLAIMER OF WARRANTY &
LIMITED LIABILITY
The software is provided "as is" without warranty of any
kind, either express or implied. In its evaluation
version, the Software is known to have certain
limitations. THE AUTHOR does not warrant that the
functions contained in the Software will meet LICENSEE's
requirements or that the operation will be uninterrupted
or error free.
The entire risk as to the use, quality, and performance
of the Software is with the LICENSEE. Should the Software
prove defective, the LICENSEE, and not THE AUTHOR,
assumes the entire cost of any necessary repair. In no
event, THE AUTHOR will be liable for any incidental,
consequential, direct or indirect damages including but
not limited to the loss of data, lost of profits, or any
other financial loss arising from the use of, or
inability to use, even if THE AUTHOR have been notified
of the possibility of such damages.
5. VERIFICATION OF
COMPLIANCE
LICENSEE agrees that authorized representatives of THE
AUTHOR with little or no advance notice may verify that
LICENSEE is complying with its obligations under this
agreement by any mean.
6. INTELLECTUAL PROPERTY
The Software is intellectual property of THE AUTHOR
protected as such by French copyright law, international
treaty provisions, and applicable laws of the country in
which it is being used. Trademarks, logos and trade-names
quoted in this Agreement, on or in the Software are the
property of their respective owners. Any reproduction of
the Software is only granted on the absolute condition
that it contains all the legal specifications of the
Software property.
7. CONFIDENTIALITY
The structure, the organization, the performances of the
Software and any information clearly identified as
confidential by THE AUTHOR, are valuable trade secrets
and confidential information of THE AUTHOR. The LICENSEE
agrees to hold these trade secrets in confidence. This
article shall be applicable after the termination of the
License Agreement, unless prior written agreement between
the parties.
8. TERM & TERMINATION
This license is effective from the date LICENSEE receives
the Software. Each party may terminate this license at
anytime without cause upon written notice. This
termination shall not relieve the LICENSEE from its
liability to respect all the obligations claimable before
the termination date.
The Agreement and the license granted hereunder shall
automatically terminate at THE AUTHOR's sole discretion
if LICENSEE is in breach of this Agreement. This
termination shall not prevent THE AUTHOR from claiming
any further damages. Upon termination for any reason, the
LICENSEE shall destroy or return the Software to THE
AUTHOR, any copy made partial or whole in its possession.
Upon termination for any reason, the LICENSEE shall
certify by means of a written document duly signed by a
legal representative that the provisions of the present
article have been respected, and this within a time limit
of eight (8) days as from the date of
termination.
9. MISCELLANEOUS PROVISIONS
LICENSEE shall not directly or indirectly transfer the
Software to any country to which such transfer would be
prohibited by any applicable export control laws. No
change or modification to this Agreement will be valid
unless it is in writing and is signed by a duly
authorized representative of each party. If any provision
of this Agreement is held to be unenforceable, the
remainder of this Agreement shall continue in full force
and effect. The waiver by THE AUTHOR of one breach or
default hereunder shall not constitute the waiver of any
subsequent breach or default.
This is the entire agreement between THE AUTHOR and
LICENSEE relating to the contents of the Software and
supersedes any other communications with respect to the
Software.
The relationship between THE AUTHOR and the LICENSEE is
that of LICENSOR/LICENSEE. In all matters regarding to
the present Agreement, the LICENSEE shall act as an
independent contractor.
This Agreement will be governed by the laws in force in
the country/state where you have obtained this Software.
Any dispute, controversy or claim arising out of or
relating to this Agreement shall be settled by
adjudication before the competent courts of the
country/state where you obtained this
Software.
YOU ACKNOWLEDGE TO HAVE READ,
UNDERSTOOD AND AGREED TO BE BOUND BY THE TERMS AND
CONDITIONS OF THE CONTRACT INDICATED
ABOVE.

Lisez attentivement l'intégralité des
termes et conditions du contrat entre Christian Quest,
l'auteur et propriétaire d'Internet ToolKit,
ci-après dénommée L'AUTEUR et
vous-même, le LICENCIE, avant d'utiliser le
Logiciel. Cliquer sur le bouton "J'accepte" implique
votre acceptation des termes et conditions d'utilisation
du Logiciel. Nous ne sommes disposés à vous
accorder une licence d'utilisation sur le Logiciel que si
vous acceptez la totalité des conditions
stipulées dans ce contrat de licence.
1. DEFINITIONS
Logiciel: version "limitée" d'un Programme
conçu par L'AUTEUR nommé Internet Toolkit
for 4D (ITK).
Prospect:Toute personne susceptible d'être
interessée par le Logiciel
2. PROPRIETE ET LICENCE
Le présent Contrat est un contrat de licence de
Logiciel et non un contrat de vente.
L'AUTEUR reste propriétaire de l'exemplaire du
Logiciel fourni ainsi que des copies que le LICENCIE est
autorisé à effectuer en vertu du
présent contrat. Les droits du LICENCIE sur le
Logiciel sont spécifiés dans le
présent Contrat, à l'exclusion de ceux qui
n'ont pas été expressément
concédés par les
présentes.
3. ETENDUE DU DROIT
D'UTILISATION
L'AUTEUR concède au LICENCIE un droit personnel et
non-exclusif d'utiliser le Logiciel.
Le Logiciel peut contenir une ou plusieurs
bibliothèques, fichiers redistribuables ou autres
pour lesquels L'AUTEUR vous concéde sur le
fondement des licences acquises auprès de ses
fournisseurs, un droit d'utilisation à condition
que vous respectiez les conditions stipulées au
présent contrat.
Le LICENCIE est autorisé
à :
Utiliser le Logiciel à des fins exclusives de
démonstration et d'évaluation.
Le LICENCIE s'interdit
expressément :
a) D'utiliser le Logiciel à des fins de
production.
b) De solliciter et/ou de retirer un quelconque profit
financier provenant de l'utilisation ou de la diffusion
du Logiciel.
c) De modifier, traduire, faire de l'ingénierie
à rebours, décompiler, désassembler
le Logiciel, sauf dispositions législatives
contraires en vigueur.
d) D'altérer ou supprimer les mentions de droits
d'auteur, noms commerciaux, logos, ou marques et autres
privilèges de propriété
intellectuelle de L'AUTEUR sur ou dans le Logiciel .
e) D'utiliser ou diffuser le Logiciel en accordant des
droits plus étendus et des garanties
supérieures à celles accordées par
L'AUTEUR dans le cadre du présent Contrat.
f) De divulguer à des tiers les résultats
d'essais relatifs au Logiciel, sans l'accord
préalable écrit de L'AUTEUR.
En aucun cas, le Logiciel ne sera
maintenu par L'AUTEUR.
4. GARANTIE ET
RESPONSABILITE
Le Logiciel est fourni "tel quel", sans aucune garantie
explicite ou implicite.
L'AUTEUR ne fournit notamment aucune garantie quant
à l'utilisation, les fonctionnalités, les
performances, la fiabilité, la non-violation de
droits de tiers et la qualité marchande du
Logiciel.
L'AUTEUR ne garantit notamment pas que les fonctions
contenues dans le Logiciel répondront aux besoins
du LICENCIE ou que le fonctionnement du Logiciel ne sera
pas interrompu et/ou exempt de bogues, d'erreurs ou toute
autre malfaçon.
Le LICENCIE est responsable du choix du Logiciel, de
l'utilisation qui en est faite et des résultats
qui en seront obtenus, et prendra à sa charge
l'intégralité des coûts et
corrections nécessaires.
Il appartient au LICENCIE de prendre toutes mesures
appropriées de protection de ses
données.
Les obligations de L'AUTEUR au titre du présent
Contrat, comme des offres ou propositions qu'elle
formulerait sont des obligations de moyens et non de
résultat. De même, il est convenu entre les
parties qu'aucune obligation de conseil n'est pendante
entre elles.
L'AUTEUR ou toute autre personne ayant participé
à la création, production ou distribution
du Logiciel ne sont en aucun cas, y compris en cas de
négligence, responsables vis à vis du
LICENCIE des dommages directs ou indirects, des dommages
consécutifs ou accessoires subi par le LICENCIE,
notamment et à titre non limitatif en cas
d'interruption de fonctionnement du Logiciel, perte
d'exploitation, perte de données ou toute perte
financière résultant de l'utilisation ou de
l'impossibilité d'utilisation du Logiciel et ce,
même si L'AUTEUR a été avisée
de la survenance d'un tel dommage.
La présente garantie ne pourra priver le LICENCIE
de toute autre garantie légale, dans la mesure ou
celle-ci est applicable.
Certaines législations interdisant les limitations
et exclusions de responsabilité visées au
présent article, pour les dommages
consécutifs ou accessoires, la présente
limitation de responsabilité est susceptible de ne
pas être applicable au LICENCIE.
5. PROPRIETE INTELLECTUELLE
Le Logiciel est une oeuvre originale de l'esprit
protégeable en tant que telle par les
législations nationales et internationales.
De même, les marques (dénominations et/ou
logos) citées dans le présent Contrat et
dans le Logiciel sont la propriété de leurs
titulaires respectifs. Le LICENCIE n'est pas
autorisé à utiliser les noms commerciaux,
logos ou marques de L'AUTEUR et/ou de ses fournisseurs
dans le cadre de la démonstration de ses
applications en dehors des mentions indiquant que
lesdites applications ont été
développées au moyen du Logiciel.
A ce titre, le LICENCIE s'engage à maintenir
intactes les mentions de droits d'auteur et autres
privilèges de propriété
intellectuelle ou industrielle sur le le Logiciel et sur
toute reproduction intégrale ou partielle du
Logiciel.
6. CONFIDENTIALITE
La structure et l'organisation du Logiciel constituent
les secrets commerciaux de L'AUTEUR. Le LICENCIE s'engage
à tenir confidentiels ces secrets commerciaux.. De
mème, L'AUTEUR s'engage à tenir
confidentielles les coordonnées des Prospects
transmises par le LICENCIE. Cette obligation est
maintenue en cas de résiliation de la
présente licence.
7. DUREE & RESILIATION
Sauf Résiliation, la licence d'utilisation
consentie en vertu du présent contrat est sans
limitation de durée. Le LICENCIE peut
résilier une licence à tout moment et
à sa seule discrétion en notifiant son
intention à L'AUTEUR. Cette résiliation ne
le libèrera d'une quelconque obligation exigible
avant la date de résiliation.
L'AUTEUR peut immédiatement, de plein droit et
sans notification préalable, résilier la
présente licence, en cas d'inobservation de l'une
quelconque disposition contractuelle.
La résiliation d'une licence n'est pas exclusive
de toute autre réparation légale ou
judiciaire que L'AUTEUR souhaiterait obtenir.
En cas de résiliation d'une licence, quelle qu'en
soit la cause, le LICENCIE cesse l'utilisation du
Logiciel dont la licence a été
résiliée, détruit ou retourné
à L'AUTEUR le Logiciel, la Documentation y
afférente ainsi que toute copie partielle ou
totale en sa possession.
Le LICENCIE certifiera au moyen d'un document
écrit dûment signé par un
représentant légal que les dispositions du
présent article ont été
observées, et ce dans un délai de trente
(30) jours à compter de la
résiliation.
8. DISPOSITIONS DIVERSES
L'utilisation du Logiciel ne doit en aucun cas enfreindre
la Réglementation sur le contrôle des
Exportations applicable.
Toute modification au présent Contrat devra
être effectuée par écrit et
signée par un représentant dument
autorisé de L'AUTEUR.
Si l'une des quelconques dispositions du présent
contrat venait à être nulle aux termes d'une
disposition légale ou réglementaire ou
d'une décision judiciaire devenue
définitive, elle sera réputée non
écrite et n'entraînera pas la nullité
des autres dispositions.
Le fait, pour l'une des parties, de ne pas invoquer un
manquement de l'autre partie ne saurait valoir, pour
l'avenir, renonciation à invoquer le manquement en
cause.
Ce contrat constitue l'intégralité des
accords intervenus à ce jour entre les parties. Il
prévaut sur toutes dispositions verbales ou
écrites antérieures relatives au même
objet.
Le présent contrat ne peut en aucun cas être
considéré comme un acte constitutif d'un
mandat ou d'une entité juridique quelconque.
Ce contrat est régi par le droit français.
Tout différend relatif à la
validité, à l'interprétation,
à l'exécution ou à la
résiliation du présent contrat sera soumis
au Tribunal de Commerce de Creteil*.
VOUS DECLAREZ AVOIR LU, COMPRIS ET
ACCEPTE DE VOUS CONFORMER AUX TERMES ET CONDITIONS DE LA
PRESENTE LICENCE TELS QU'INDIQUES
CI-DESSUS.

est remplacé par :
Droit applicable : Le présent Contrat est soumis
aux lois de Belgique (de Luxembourg). Tout litige,
différend ou réclamation découlant
de ou afférent au présent contrat sera
soumis aux Tribunaux compétents à Bruxelles
(à Luxembourg)
